These Terms of Service ("Terms") are a binding agreement between you and Auctra ("Auctra", "we", "us") for access to our website, operator console, REST API, SDK, documentation, and related services (collectively, the "Services"). By creating an account, accessing the Services, or clicking to accept, you agree to these Terms.
Our Privacy Policy, Acceptable Use Policy, Billing & Subscriptions, and Refund Policy are incorporated by reference.
1. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization. You are responsible for all activity under your account and for maintaining the confidentiality of your credentials. Organization owners are responsible for invites, roles, sponsors, and actions taken by their team members and registered agents.
2. The Services
Auctra provides authority infrastructure for AI agents: registration of agents, delegation of bounded authority, policy evaluation, human approval workflows, append-only audit logging, and API/SDK integration. We may add, change, or discontinue features with reasonable notice where practicable. Beta or preview features may be offered as-is and may change without notice.
Unless otherwise agreed in a signed order form, we do not guarantee a specific uptime SLA. Enterprise customers may negotiate separate service levels in writing.
3. Customer data and privacy
You retain ownership of data you submit to the Services, including authority configuration and audit events. You grant Auctra a limited, worldwide license to host, process, transmit, and display your data solely to provide and improve the Services, comply with law, and enforce these Terms.
You represent that you have all rights and lawful bases necessary to submit data to the Services, including personal data of your employees, contractors, and end users. Our Privacy Policy describes how we handle personal data. Enterprise customers may request a Data Processing Addendum from privacy@auctra.tech.
4. Customer responsibilities
- Configure delegations, policies, sponsors, and approvals appropriate to your risk profile.
- Ensure agents call evaluation endpoints before executing consequential actions you require to be gated.
- Maintain accurate organization, billing, and sponsor information.
- Comply with applicable law and our Acceptable Use Policy.
- Protect API keys, rotate compromised credentials promptly, and enforce least-privilege access.
- Not misrepresent Auctra outputs as legal advice, guaranteed safety, or regulatory approval.
5. Subscriptions and payments
Paid plans are billed according to our Billing & Subscriptions terms. Payments may be processed by our merchant-of-record partner. Taxes may apply based on your location. See Billing & Subscriptions and Refund Policy.
6. Intellectual property
Auctra retains all rights in the Services, software, documentation, and branding. Feedback you provide may be used to improve the Services without obligation to you. You may not copy, modify, reverse engineer, or resell the Services except as expressly permitted in documentation or a separate written agreement.
7. Confidentiality and security
Each party may receive confidential information from the other. You must protect API keys and restrict console access by role. We implement safeguards described in our Security page. Confidentiality obligations survive termination for information that remains confidential.
8. Third-party services
The Services may interoperate with third-party tools, models, and infrastructure you configure. Auctra is not responsible for third-party services, their availability, or their handling of data outside our control.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUCTRA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
AUCTRA DOES NOT GUARANTEE THAT EVERY AGENT ACTION WILL BE BLOCKED, APPROVED, OR LOGGED CORRECTLY. YOU REMAIN RESPONSIBLE FOR AGENT BEHAVIOR, INTEGRATIONS, PROMPT INJECTION RISK, AND COMPLIANCE WITH LAW. AUCTRA IS NOT A LAW FIRM AND DOES NOT PROVIDE LEGAL, COMPLIANCE, OR REGULATORY ADVICE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUCTRA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY.
OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID TO AUCTRA IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED US DOLLARS (USD $100).
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
11. Indemnification
You will defend, indemnify, and hold harmless Auctra and its affiliates, officers, and employees from claims, damages, and expenses (including reasonable attorneys' fees) arising from your data, your use of the Services, your agents or integrations, violation of these Terms, or violation of applicable law, except to the extent caused by our gross negligence or willful misconduct.
12. Termination
You may stop using the Services at any time. We may suspend or terminate access for violation of these Terms, non-payment, security risk, or legal requirement. Upon termination, your right to access the Services ends. Provisions that by nature should survive (including payment obligations, disclaimers, limitation of liability, indemnification, and governing law) survive termination.
13. Export and sanctions
You may not use the Services in violation of export control or sanctions laws, or in embargoed countries or for prohibited end users.
14. Changes
We may update these Terms. Material changes will be posted on this page with an updated effective date and, where appropriate, notified by email or in-product notice. Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Services.
15. Governing law and disputes
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Except where prohibited by law, you and Auctra agree to the exclusive jurisdiction of the state and federal courts located in Delaware for disputes arising from these Terms or the Services. Either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.
16. General
- Entire agreement: These Terms and incorporated policies are the entire agreement regarding the Services, superseding prior understandings on the same subject.
- Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Severability: If any provision is unenforceable, the remainder stays in effect.
- Force majeure: Neither party is liable for delays or failures caused by events beyond reasonable control (for example, natural disasters, widespread outages, or government actions).
- No waiver: Failure to enforce a provision is not a waiver of future enforcement.
